THIS AGREEMENT, made and entered into this 12th day of May, 1977, by and between the Supreme Court of Virginia, by ROBERT N. BALDWIN, Executive Secretary, hereinafter known and referred to as "the Court," and THE MICHIE COMPANY, a corporation of Charlottesville, Virginia, hereinafter called "the Publisher." 1. The Court agrees to furnish to the Publisher for publication a full and complete text treatise of Model Criminal and Civil Jury Instructions drafted by the Court's Committee and its Reporters. 2. The Reporters shall furnish to the Publisher a clear, legible, typewritten or partially printed manuscript of the text for such treatise. 3. The Publisher agrees to edit the instructions carefully for uniformity, clarity, accuracy and proper arrangements. Any discrepancies will be pointed out to the Reporters who shall confer with the Publisher, reconcile all conflicts and direct the Publisher in preparing final copy prior to typesetting. The Publisher agrees to prepare the necessary indices. 4. The Publisher will submit proof sheets to the Reporters, who shall revise and correct the same. If the alterations and corrections made by the Reporters by reason of departure made by them from the original manuscript shall exceed 20% of the cost of composition, the amount of such excess shall be a charge against the royalty specified in paragraph 9 of this agreement. 5. The Publisher agrees to print, bind and publish the instructions in two or more separate, loose-leaf binders, under titles styled "Model Civil Instructions" and "Model Criminal Instructions." Each chapter or category by whatever caption of each loose-leaf binder shall be separated by printed divider tabs indicating the heading. 6. The Publisher agrees to print and distribute periodically additional instructions supplied by the Committee through its Reporters, following the procedures specified in paragraphs 2, 3, 4 and 5 of this Agreement. 7. In consideration of its financial investment, the Publisher shall have and exercise full control over all sales of the publication which control shall include copyrighting the publication in the name of the Publisher. 8. The Publisher agrees to advertise and circulate the publication to such an extent that proper announcement thereof shall be made to bring the same on the market. 9. The Publisher agrees to pay the Court or its assigns a royalty of 16 2/3% of the money actually received by the Publisher from the sale of the publication and supplements thereto. The Publisher agrees to furnish to the Court in April and October of each year semiannual statements of the sales to date. Royalties due the Court shall be paid by the Publisher as directed by the Court or its assigns. 10. The initial retail sales price shall be $45.00 for each loose-leaf binder. These prices may be adjusted by mutual agreement as the loose-leaf binders grow by the insertion of additional instructions. 11. After publication of each loose-leaf binder, the Publisher agrees to print and distribute regularly and promptly additional instructions submitted by the Committee through its Reporters. The price for this annual upkeep service shall be mutually agreed upon. 12. The Publisher agrees to distribute without charge a copy of each loose-leaf binder to all members of the Supreme Court of Virginia, its Executive Secretary, State Judges of Courts of Record, the Committee Reporters and each member of the Court's Committee which drafted the Instructions. A copy of the Criminal loose-leaf binder will likewise be distributed without charge to the office of each Commonwealth Attorney in Virginia. This agreement is signed in duplicate.
